1. Agreement to Terms

Welcome to SPOT Rewards. These Terms of Service ("Terms") govern your access to and use of the SPOT Rewards mobile application, website, and related services (collectively, the "Service") operated by SPOT Rewards Ltd ("we", "our", or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorised access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. SPOT Rewards Programme

4.1 Earning Points

You can earn SPOT points by making purchases at participating businesses and completing qualifying activities. Points are awarded based on the terms set by each participating business and may vary.

4.2 Redeeming Points

Points can be redeemed for rewards at participating businesses according to their redemption terms. Points have no cash value and cannot be exchanged for cash, transferred to other users, or sold.

4.3 Points Expiration

Points may expire if your account is inactive for 12 consecutive months. We will notify you before points expire.

4.4 Programme Changes

We reserve the right to modify, suspend, or terminate the rewards programme at any time. We will provide reasonable notice of material changes.

5. User Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorised access to the Service or other accounts
• Interfere with or disrupt the Service or servers
• Create multiple accounts to abuse the rewards programme
• Engage in fraudulent activities or misrepresent transactions
• Harass, abuse, or harm other users
• Post or transmit harmful, offensive, or inappropriate content
• Use automated systems or bots to access the Service
• Circumvent any security features of the Service

6. Business Accounts

If you register as a business on SPOT, additional terms apply:

• You must be authorised to represent the business
• Business information must be accurate and up-to-date
• You are responsible for honouring rewards offered through the platform
• Settlement of transactions will occur according to our business agreement
• You agree to our commission structure and payment terms

7. Intellectual Property

The Service and its original content, features, and functionality are owned by SPOT Rewards Ltd and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks or branding without authorisation
• Reverse engineer or attempt to extract source code
• Remove any copyright or proprietary notices

8. User Content

You may submit content to the Service, including reviews, photos, and comments ("User Content"). By submitting User Content, you:

• Grant us a non-exclusive, worldwide, royalty-free licence to use, display, and distribute your content
• Represent that you own or have the right to submit the content
• Agree that your content does not violate any third-party rights

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

We are not responsible for the products, services, or conduct of participating businesses.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOT REWARDS LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify, defend, and hold harmless SPOT Rewards Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• Any unredeemed points may be forfeited
• We may delete your account and data

You may terminate your account at any time by contacting us or using the account deletion feature in the app.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
